SOC 2 Type I vs Type II: Which One Do Your Clients Want?
When a prospect requests a SOC 2 report, confirm the required type, system scope, criteria and period. Buyer acceptance varies; do not assume that either report automatically satisfies procurement.
| Type I | Type II | |
|---|---|---|
| Examination focus | System description and control design as of a date | Also operating effectiveness over a period |
| Time window | Specified date | Specified examination period |
| Planning dependency | Design and evidence as of the date | Operation and evidence throughout the period |
| Buyer acceptance | Confirm the buyer's requirement | Confirm scope, period and opinion with the buyer |
Type I: a photograph
A Type I examination addresses the system description and suitability of control design as of a specified date. It does not examine operating effectiveness over a period. Read the actual opinion, scope and limitations rather than treating the report as a general security guarantee.
Type II: a film
A Type II examination also addresses whether the scoped controls operated effectively over a specified period. The CPA firm determines its testing and opinion. Exceptions, scope limitations and customer responsibilities still need to be read and assessed.
The pragmatic path
- Define: agree the buyer requirement, system boundary and intended report with the selected CPA firm.
- Prepare: address design gaps, establish owners and begin controlled evidence collection.
- Choose: consider Type I only if it serves a real assurance need; do not promise it substitutes for Type II.
- Operate and examine: maintain evidence over the agreed period, review exceptions and support the independent examination.
Where independent help fits
ABZSECURE can help scope readiness, review evidence, track gaps and prepare a handoff. Customer control owners remain responsible for operation and evidence, and an independent licensed CPA firm performs the examination and issues the report. See the AICPA SOC overview.
